These Terms of Service ("Terms") are a legal agreement between you and SEM Optimiser Pty Ltd ("SEMOptimiser", "we", "us") governing your use of semoptimiser.com and the hosted product (together, the "Service"). 1. Account and eligibility
- You must be 16 or older to use the Service. If you're using it on behalf of an organization, you confirm you have authority to bind that organization.
- You're responsible for keeping your password (or Google account) secure and for any activity under your account.
- You must give us accurate information when signing up and keep it current.
- One person per account. Sharing accounts violates these Terms – invite teammates to your workspace instead.
2. Plans, billing and renewals
- Free plan: free indefinitely, subject to the per-plan limits.
- Paid plans: billed in advance, monthly or annual. Renews automatically at the same cadence unless cancelled.
- Annual plans can be refunded within the first 60 days (prorated). After 60 days, the unused portion is credited against a future plan.
- Monthly plans run to the end of the current month after cancellation. No refunds for partial months.
- Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.
- We may change plan pricing with at least 30 days' email notice. Existing customers keep their current price until their next renewal after the notice period.
All amounts are in USD unless explicitly stated. Tax (GST, VAT, sales tax) is added on top where applicable based on your billing address.
3. Acceptable use
You agree not to:
- Use the Service to crawl sites you don't own or have permission to audit.
- Reverse engineer, decompile or attempt to extract source code from the Service.
- Resell or sublicense the Service without a written agreement (Agency and CEO plans expressly permit reselling SEO services delivered using the platform).
- Use the Service to violate any law, infringe IP rights, or distribute malware.
- Probe or test the security of the Service except via our responsible-disclosure program (security@semoptimiser.com).
- Submit large volumes of URLs or queries that are designed to abuse search engines' rate limits.
We may suspend or terminate accounts that violate these rules. For serious violations (illegal activity, deliberate harm), termination is immediate; for minor ones, we'll usually warn first.
4. Your content and data
- You own everything you submit to the Service ("Customer Data"): URLs you audit, keywords you track, server credentials you connect, conversion data, AI prompts, etc.
- You grant us a license to process Customer Data solely to provide the Service to you. We don't use it for any other purpose.
- We don't use Customer Data to train AI models for anyone outside your workspace.
- You're responsible for ensuring you have the right to submit any Customer Data you upload (e.g. you own the site, you have a contract to audit it, etc.).
5. Our content and IP
We own the Service: the software, the dashboards, the documentation, the brand. You get a non-exclusive, non-transferable right to use the Service while your account is in good standing. Nothing in these Terms transfers ownership of our IP to you.
Third-party trademarks referenced on semoptimiser.com – including product names identified in our comparison and migration pages – are the property of their respective owners and used only to identify those products, not to imply endorsement. Our Trademark & Brand Policy at /trademarks lists every mark, our nominative fair use position, the substantiation policy for comparative claims, and the trademark-owner notice-and-takedown contact.
6. Third-party integrations
When you connect Google Search Console, GA4, Bing Webmaster, Stripe, Slack or any other third party, your use of that third party is governed by that third party's own terms. We're not responsible for the availability or behaviour of third-party services beyond our reasonable control.
7. Service availability
We target 99.9% monthly uptime for paid plans and aim higher in practice (12-month uptime is typically 99.97%+). The Service is provided "as is" and "as available". We don't guarantee specific search rankings, audit results, or SEO outcomes – those depend on factors outside our control (search engine algorithms, your content, your competition).
For documented unplanned downtime exceeding the SLA on Enterprise plans, you may be entitled to service credits per your contract.
8. Suspension and termination
You can cancel any time from Settings → Subscription. We can suspend or terminate your account for:
- Non-payment after our retry-and-notification process (typically 2 weeks).
- Violation of the acceptable use rules in Section 3.
- Court orders or law-enforcement requests we are legally required to comply with.
After termination, you have 30 days to export your data. After that we may delete it (subject to legal retention requirements covered in our Privacy Policy).
9. Disclaimers and limitations
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the Service will be uninterrupted, error-free, or meet your specific requirements.
Our total aggregate liability arising out of or related to these Terms or the Service is limited to the greater of (a) AUD $100 or (b) the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
Nothing in these Terms limits liability that cannot be limited by law (e.g. consumer guarantees under Australian Consumer Law, gross negligence, wilful misconduct).
10. Indemnity
You agree to indemnify and hold us harmless from any third-party claim arising out of your use of the Service in violation of these Terms or applicable law, including claims related to Customer Data you submitted that infringed someone else's rights.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any dispute is subject to the exclusive jurisdiction of the courts of New South Wales, except where local consumer-protection laws give you the right to bring proceedings in your home jurisdiction.
12. Changes to these Terms
We may update these Terms occasionally. Material changes are emailed to all account holders at least 30 days before they take effect. Continuing to use the Service after the effective date means you accept the new Terms; if you don't, you can cancel before then with a full refund of any prepaid unused fees.
